Acceptance and Scope

These Terms & Conditions (“Terms”) form an agreement between the person or organization using this website (“you”) and Peptora Peptide Labs (“Peptora,” “we,” “us” or “our”). They apply to website browsing, customer accounts, communications, checkout and all orders placed through peptorapeptidelabs.ca.

If you use the website for an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the website or submit an order.

Additional terms displayed during checkout or on a specific product or service page also apply. If there is a conflict, any non-excludable legal requirement controls first, followed by the more specific term for the relevant transaction.

Eligibility and Authority

You must be at least 18 years old, have legal capacity to enter an agreement and be authorized to use the payment method and delivery information supplied. Products must be purchased only by or for qualified facilities and trained personnel conducting lawful non-clinical laboratory research, analytical reference or assay-development work.

Peptora may request reasonable information to confirm identity, authority, order legitimacy, intended institutional context or compliance with these Terms. We may decline or cancel an order when required information is not provided or where we reasonably believe an order presents legal, safety, fraud, misuse or policy concerns.

Research-Use Restrictions

You must not use, administer, apply, distribute or represent any product:

• for use in or on humans or animals;
• for diagnosis, treatment, mitigation, cure or prevention of disease;
• for clinical trials or therapeutic use unless separately and lawfully authorized outside the scope of this website;
• as a drug, medicine, supplement, food, cosmetic or veterinary product;
• in a manner prohibited by law, regulation, professional standard or these Terms; or
• with altered, removed or misleading labels, warnings, batch references or documentation.

Accounts and Security

You are responsible for maintaining accurate account information, protecting login credentials and all activity under your account. Do not share credentials or permit unauthorized access. Notify Peptora promptly if you suspect unauthorized activity.

We may suspend or restrict accounts affected by suspected fraud, misuse, security concerns, repeated payment disputes or violations of these Terms. Account access does not create an entitlement to purchase any product.

Product Information and Availability

We work to present product names, labelled quantities, images, descriptions, prices, stock status and documentation accurately. Website information may nevertheless contain typographical, technical, photographic or inventory errors. Product images are illustrative and packaging, labels or presentation may be updated without changing the identified product.

Availability is not guaranteed. We may correct information, update a page, limit quantities, discontinue a product or cancel an unavailable item. Scientific background is supplied for informational context only and is not a statement of clinical efficacy, safety, suitability or regulatory approval.

Testing, Certificates and Batch Documentation

Where available, Peptora provides batch-specific certificates of analysis (“COAs”), report summaries or third-party verification links. Testing panels vary by product and batch. No test should be assumed unless it appears on the applicable complete report.

• Match the product, labelled quantity, batch and report reference.
• Read the complete COA, including methods, values, units, dates and qualifications.
• Confirm that documentation corresponds to the currently available lot.
• Do not apply one product’s or batch’s results to another product or batch.

A COA reports the findings of the identified analysis under the reported conditions. It does not authorize human or animal use, establish fitness for a particular application or replace the purchaser’s own methods, controls, validation and legal obligations.

Orders, Review and Acceptance

Your checkout submission is an offer to purchase. An automated acknowledgment confirms receipt but does not necessarily constitute final acceptance. Peptora may review payment, inventory, address, quantity, account and compliance information before accepting or dispatching an order.

We may refuse, limit or cancel an order before fulfilment where reasonably necessary because of inventory, pricing or description errors, payment failure, suspected fraud, legal restrictions, shipping limitations, product misuse concerns or a breach of these Terms. If we cancel an order after receiving payment, amounts collected for the cancelled items will be handled as required by law and the payment method’s process.

Pricing, Taxes and Website Errors

Prices are displayed in the currency indicated on the website. Applicable taxes, shipping charges and other disclosed amounts are shown during checkout before order submission. You are responsible for reviewing the order summary and correcting errors before placing the order.

If a material pricing, stock or product-information error is discovered, Peptora may correct the information and, where permitted, cancel the affected order or contact you for instructions. Nothing in this section limits a right or remedy that cannot legally be excluded.

Payment and Fraud Review

You authorize the applicable payment provider or financial institution to process the total shown at checkout. Payment availability may change. Third-party payment providers process information under their own terms and privacy policies.

Orders may be held, declined or cancelled if payment cannot be verified, authorization fails, information is inconsistent or activity reasonably appears fraudulent or unauthorized. If an order problem arises, contact Peptora before filing a payment dispute so we can review the issue. Chargebacks are also subject to our Refunds & Returns Policy.

Shipping and Delivery

Peptora fulfils Canadian orders from Ontario. Services, charges and estimates are shown at checkout where available. Processing times and carrier transit times are separate. Estimates are not guaranteed unless an applicable service expressly states otherwise.

You are responsible for complete and accurate delivery information and a secure, accessible destination. Address errors, refusal, non-collection, carrier restrictions, severe weather, remote-area conditions and other events may delay or prevent delivery. Refunds, Returns and Order Issues

All sales are final because product integrity and chain of custody cannot be verified after dispatch, except where a cancellation, refund, replacement or other remedy is required by applicable law.

Damaged, incorrect or incomplete deliveries must be reported within 48 hours of delivery with the order number, clear photographs and a description. Change of mind, intended application, internal project expectations, laboratory methods or third-party interpretation do not qualify for return or refund. Acceptable Website Use

You may not use the website to:

• violate any law, regulation, court order or third-party right;
• submit false, misleading, fraudulent or unauthorized information;
• interfere with website operation, security, accounts or other users;
• introduce malware, scrape or extract data through unauthorized automated means;
• attempt to gain unauthorized access to systems, accounts or non-public information;
• impersonate another person or organization;
• use website content to make false medical, therapeutic, regulatory or product claims; or
• resell or market products in a misleading, unlawful or relabelled manner.

Intellectual Property

The website and its original text, design, graphics, logos, product presentation, photographs, page layouts and other content are owned by or licensed to Peptora and are protected by applicable intellectual-property laws. You may view and make limited copies for legitimate personal or internal business review connected to a potential purchase.

You may not reproduce, republish, modify, distribute, sell, frame, scrape or commercially exploit website content without prior written permission. Third-party laboratory names, marks and reports remain the property of their respective owners.

Third-Party Services and Links

The website may link to or rely on laboratories, verification platforms, payment providers, carriers, hosting services and other third parties. Peptora does not control their websites, systems, availability, security, terms or independent representations. A link does not imply endorsement beyond the purpose for which it is presented.

Your use of a third-party service is subject to that party’s terms and policies. Peptora is not responsible for independent third-party content or services except to the extent responsibility cannot legally be excluded.

Website and Product Disclaimers

To the maximum extent permitted by law, the website and its content are provided on an “as available” basis. Peptora does not warrant uninterrupted access, error-free operation or that all content will remain current at all times.

Products are supplied for the limited research purposes stated in these Terms. Peptora does not provide medical, veterinary, dosing, administration, reconstitution, treatment or diagnostic advice. Scientific references, receptor descriptions and research summaries do not constitute instructions, professional advice or a warranty of results.

Except for express commitments stated on the applicable product page, COA or policy—and except for warranties or conditions that cannot legally be excluded—Peptora disclaims implied warranties or conditions of merchantability, fitness for a particular purpose and non-infringement to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, Peptora and its owners, personnel and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, including loss of profit, revenue, opportunity, data, research time or anticipated results arising from the website, an order, delay, misuse or inability to use a product.

To the maximum extent permitted by law, Peptora’s aggregate liability arising from a specific order will not exceed the amount actually paid to Peptora for the product giving rise to the claim.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Peptora and its owners, personnel and service providers from third-party claims, liabilities, losses, damages and reasonable costs arising from your unlawful conduct, prohibited product use, material breach of these Terms, violation of third-party rights or false purchaser representations.

This section does not require indemnification for Peptora’s own conduct where such a requirement would be prohibited by law.

Suspension, Refusal and Termination

Peptora may suspend website access, restrict an account or refuse future orders where reasonably necessary to protect security, comply with law, prevent fraud or misuse, respond to repeated abusive disputes or enforce these Terms. Provisions that by their nature should survive termination—including payment obligations, product restrictions, intellectual property, disclaimers, liability, indemnity and dispute provisions—will continue to apply.

Governing Law and Disputes

These Terms and transactions with Peptora are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory rights regarding jurisdiction or venue, the courts located in Ontario will have jurisdiction over disputes.

Before starting formal proceedings, contact Peptora with the order or account details and a description of the concern so the parties can attempt a good-faith resolution. This informal step does not prevent either party from seeking urgent relief or exercising a right within a mandatory limitation period.

General Provisions

Entire Agreement

These Terms, checkout disclosures and incorporated policies form the agreement concerning website use and purchases, replacing prior discussions about the same subject.

Severability

If a provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue.

No Waiver

A delay or failure to enforce a provision is not a waiver of that provision or a future breach.

Assignment

You may not transfer your rights or obligations under these Terms without Peptora’s written consent. Peptora may transfer these Terms in connection with a lawful business reorganization or transaction, subject to applicable law.

Electronic Communications

You agree that order confirmations, notices, policy disclosures and other communications may be provided electronically using the contact information supplied.

Changes to These Terms

Peptora may update these Terms to reflect changes in the website, products, services, policies or legal requirements. Revised Terms will be posted with a new effective date. Changes apply prospectively unless otherwise required by law. Terms applicable when an order was submitted generally govern that order, subject to mandatory legal requirements.
